Welcome to the Poppn Ltd. (Poppn, we, us, or our) website and mobile application ("Website" or "Platform") and thank You for visiting. Our website is a destination for influencers and creators of social content ("Creators") to collaborate, meet and find new projects. We hope You enjoy the experience!

These Terms of Use ("Terms") are a legal contract between You and Poppn (collectively, "Everyone") and govern Your use of all the text, data, information, software, graphics, photographs and more (all of which We refer to as "Materials") that We and Our affiliates may make available to You, as well as any services ("Services") We may provide through Our Website.

READ THESE TERMS CAREFULLY BEFORE BROWSING THIS WEBSITE. USING THIS WEBSITE INDICATES THAT YOU HAVE BOTH READ AND ACCEPT THESE TERMS. YOU CANNOT USE THIS WEBSITE IF YOU DO NOT ACCEPT THESE TERMS.

NOTE: THESE TERMS CONTAIN A DISPUTE RESOLUTION AND ARBITRATION PROVISION, INCLUDING CLASS ACTION WAIVER THAT AFFECTS YOUR RIGHTS UNDER THESE TERMS AND WITH RESPECT TO DISPUTES YOU MAY HAVE WITH THE COMPANY. YOU MAY OPT OUT OF THE BINDING INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER AS PROVIDED BELOW.

1. Who We Are

Poppn is a global creator collaboration platform that connects Brands and Creators for social campaigns, partnerships, and marketing collaborations. Our mission is to make brand–creator partnerships seamless, transparent, and rewarding.

2. Eligibility

You may use the Platform only if you:

Are at least 13 years old or the age of majority in your jurisdiction;
Are capable of forming a binding contract; and
Will comply with these Terms and all applicable laws.

If you use Poppn on behalf of a company or organisation, you represent that you are authorised to bind that entity to these Terms.

3. Account Registration

To access most features, you must create a Poppn account. You agree to provide accurate, complete, and updated information.
You’re responsible for maintaining the confidentiality of your login details and for all activities under your account.

We may suspend or terminate your account if we believe it’s used for unauthorised, fraudulent, or illegal activity.

4. Platform Services

Through Poppn, users can:

Create and manage brand campaigns
Connect with creators for social media collaborations
Receive payments for completed campaigns via Paystack
Access analytics and insights on campaign performance

We may add, modify, or discontinue features at any time.

5. Payments and Fees

All payments between Brands and Creators are processed securely through Paystack or another authorised payment processor.

Creators receive payments for completed campaigns as defined by campaign terms.
Brands must pre-fund campaigns or provide valid payment authorisation before collaboration.
Poppn may charge a service fee or commission, which will be disclosed at checkout.
Taxes: You are responsible for all applicable taxes related to your transactions.

We are not responsible for delays, errors, or disputes caused by third-party payment providers.

6. Content Ownership

Creator Content

Creators retain ownership of the content they produce. By posting or sharing content on Poppn, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, display, and promote that content to operate and market our Services.

Brand Content

Brands grant Creators a limited license to use campaign assets only for the agreed-upon promotional purpose and timeframe.

You agree not to post or distribute any content that is:

False, misleading, or defamatory
Infringing on another’s intellectual property rights
Illegal, obscene, or discriminatory

7. Acceptable Use

You agree not to:

Use Poppn for any unlawful purpose
Post spam, scams, or misleading campaigns
Collect data from other users without consent
Interfere with the operation or security of the Platform
Engage in harassment or abusive behaviour

Violating this policy may result in suspension or permanent removal from the Platform.

8. Dispute Resolution and Arbitration

If you have a dispute with Poppn, please contact legal@poppn.app first — we’ll do our best to resolve it informally.

If we cannot reach a resolution, you agree that any dispute or claim will be settled by binding arbitration, rather than in court. Arbitration will be conducted in English, in accordance with internationally recognised rules (e.g., UNCITRAL).

Class Action Waiver: You agree to resolve disputes only on an individual basis, not as part of a class, collective, or representative action.

You may opt out of arbitration by notifying us in writing within 30 days of accepting these Terms.

9. Termination

You can close your account at any time.
Poppn may suspend or terminate your access if you:

Breach these Terms
Misuse the Platform or violate applicable laws
Engage in activity that could harm Poppn or its users

Upon termination, your right to use the Services immediately ceases, but certain provisions (like intellectual property and limitation of liability) will continue.

10. Disclaimers

The Poppn Platform and all Services are provided “as is” and “as available.”
We make no warranties or representations regarding:

The accuracy or completeness of any information;
Continuous, error-free access; or
The conduct of any user or partner.

You use Poppn at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, Poppn and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising out of your use (or inability to use) our Services.

12. Changes to These Terms

We may update these Terms periodically. When we do, we’ll post the updated version here with a new Effective Date.
If changes are material, we’ll notify you via email or in-app notice.

Continuing to use Poppn means you accept the updated Terms.
